西门子收购Altair,进一步增强工业软件及人工智能技术能力

西门子近日宣布已签署协议,将收购工业仿真和分析软件提供商Altair。根据协议,西门子将向Altair股东提供每股113美元的收购价,相当于Altair估值100 亿美元。该收购价格较Altair 2024年10月 21日(即被收购前最后一个交易日)收盘价溢价19%。通过此次收购,西门子将进一步巩固其科技公司的定位,保持在工业软件领域的优势地位。

带来成本协同效益,实现每股收益增值

得益于此次交易,西门子的数字化业务收入预计将从2023年的73亿欧元同比增长8%,增加约6亿欧元。此次收购也将为西门子带来显著的协同效益,通过交叉营销双方高度互补的产品组合、将Altair软件面向西门子全球业务和全球工业企业客户群全面开放使用,预计中期内将带来每年超5亿美元收入增长,长期而言收入增长将超过每年10亿美元。西门子计划在短期内实现成本协同效益,在交易完成后的第二年,实现税息折旧及摊销前利润(EBITDA)增长超每年1.5亿美元。

预计交易完成后第二年将实现每股收益增值(收购价格分摊前)。此次收购将完全由西门子基于自身现有资源提供现金支持。凭借强劲的资产负债表及优秀的市场评级表现,西门子充分证明了自身有能力为此次交易提供全额资金。西门子已完成了茵梦达(Innomotics)资产剥离,带来了大量现金收益,为此次收购前期去杠杆化提供支持。西门子还可通过出售上市公司的股份获得大量融资。此次交易需满足惯例成交条件,预计将于2025年下半年完成。
